Terms of Use
1. Agreement
These Terms of Use (“Terms”) govern your access to and use of the KeepUp mobile application (“App”) provided by LOONMIGHT LTD (“Loonmight,” “KeepUp,” “we,” “us”), company number 17350938.

By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.
2. The service
KeepUp is a football (soccer) alarm clock. When an alarm fires, you may be required to complete a keepy-uppy challenge using the device camera. Challenge images are analysed using third-party artificial intelligence via our cloud infrastructure to produce a Pass or Fail result. On Pass, the alarm may silence according to the App’s design.
No user accounts are required.
3. Subscriptions
Core features of KeepUp are offered on a subscription basis. Without an active subscription (or a valid introductory trial where applicable), you will not have full access to the paid experience.
3.1 Plans
- Weekly — billed weekly. No free trial.
- Annual — billed yearly. Eligible new subscribers may receive a three-day free trial as configured in the App Store.
Prices are shown in the App Store before purchase and may vary by country and tax.
3.2 Apple as merchant of record
Payments are processed by Apple as In-App Purchases. Apple’s terms, refund policies, and tax handling apply to the transaction. We do not receive your full payment card details.
3.3 Auto-renewal
Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period (or as otherwise required by Apple or local law). Manage or cancel in iOS Settings → Apple ID → Subscriptions.
3.4 Restore Purchases
The paywall includes Restore Purchases. Use it after reinstalling the App or changing devices signed into the same Apple ID.
3.5 Trial (annual only)
Where offered, the free trial applies to the annual plan only, subject to Apple’s eligibility rules. When the trial ends, the subscription converts to a paid annual subscription unless cancelled in time. The weekly plan has no trial.
4. Licence
Subject to these Terms and an active subscription (or trial), we grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes on Apple devices you own or control, as permitted by the App Store Terms of Use.
5. Camera, AI, and accuracy
- You must grant camera permission for the challenge to work.
- Pass/Fail results depend on third-party AI and network connectivity. Results may be imperfect or unavailable.
- KeepUp does not guarantee that every legitimate keep-up will Pass, or that every failure will Fail.
- Do not rely on KeepUp as your sole alarm for safety-critical, medical, legal, or emergency purposes.
6. Emergency stop
The App includes an on-device emergency stop (or equivalent fail-safe) so you can silence an alarm if you cannot complete the challenge or if camera or AI processing fails. Use it responsibly. Misuse that defeats the product’s purpose does not create a refund entitlement beyond Apple’s policies and applicable law.
7. Acceptable use
You agree not to:
- attempt to reverse engineer, abuse, or overload our services or AI endpoints;
- use the App unlawfully or to harass others;
- interfere with App Store subscription integrity beyond Apple’s rules;
- capture or submit unlawful content via the camera.
8. Health and safety
Physical activity (keeping a ball up) carries risk of injury or property damage. Use the App in a clear, safe space. You assume responsibility for your environment and physical condition.
9. Intellectual property
The App, branding, and related content are owned by us or our licensors. These Terms do not transfer ownership of any intellectual property to you.
10. Privacy
Our Privacy Policy explains how camera images and related information are handled, including third-party AI processing.
11. Disclaimer of warranties
To the maximum extent permitted by law, the App is provided “as is” and “as available,” without warranties of uninterrupted or error-free operation, including AI judgment accuracy or alarm reliability under all conditions.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including for death or personal injury caused by negligence, or for fraud.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for missed alarms, failed AI judgments, or network outages. Our aggregate liability arising out of these Terms or the App is limited to the greater of (a) the amounts you paid us for App subscriptions in the 12 months before the claim (excluding amounts retained by Apple as commission) or (b) £50, except where prohibited.
13. Changes
We may modify the App or these Terms. Continued use after an update constitutes acceptance of the revised Terms where permitted by law. Material subscription changes will follow App Store and legal requirements.
14. Termination
You may stop using the App at any time and cancel subscriptions via Apple. We may suspend or terminate access if you materially breach these Terms or if we discontinue the service (with notice where required).
15. Governing law
These Terms are governed by the laws of England and Wales, without prejudice to mandatory consumer protections in your country of residence. Courts of England and Wales shall have non-exclusive jurisdiction, subject to mandatory local consumer venue rights.

17. Apple-required notice
You acknowledge that these Terms are between you and Loonmight only, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to furnish maintenance or support. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple for a refund of the App purchase price (if any; subscriptions are handled under Apple’s refund rules). To the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing claims relating to the App or your possession or use of it, including product liability, legal or regulatory claims, or consumer protection claims. Apple is a third-party beneficiary of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and that you are not listed on any U.S. Government list of prohibited or restricted parties, where such representations are required.
